Law of the People's Republic of China on Tenders and Bids
第一章 總 則
Chapter I General Provisions
第一條 為了規(guī)范招標(biāo)投標(biāo)活動(dòng),保護(hù)國(guó)家利益、社會(huì)公共利益和招標(biāo)投標(biāo)活動(dòng)當(dāng)事人的合法權(quán)益,提高經(jīng)濟(jì)效益,保證項(xiàng)目質(zhì)量,制定本法。
Article 1 For the purposes of regulating tender and bid activities, protecting
the State’s interests, the social and public interests and the legitimate rights
and interests of parties to tender and bid activities, improving the economic
effects and ensuring the quality of projects, this Law is enacted.
第二條 在中華人民共和國(guó)境內(nèi)進(jìn)行招標(biāo)投標(biāo)活動(dòng),適用本法。
Article 2 This Law applies to tender and bid activities in the territory of
the People's Republic of China.
第三條 在中華人民共和國(guó)境內(nèi)進(jìn)行下列工程建設(shè)項(xiàng)目包括項(xiàng)目的勘察、設(shè)計(jì)、施工、監(jiān)理以及與工程建設(shè)有關(guān)的重要設(shè)備、材料等的采購(gòu),必須進(jìn)行招標(biāo):
Article 3 The following construction projects in the territory of the People's
Republic of China, including surveying and prospecting, design, engineering and
supervision of such projects as well as the procurement of major equipment and
materials related to the construction of such projects, must be subject to
tenders:
?。ㄒ唬┐笮突A(chǔ)設(shè)施、公用事業(yè)等關(guān)系社會(huì)公共利益、公眾安全的項(xiàng)目;
1. projects such as large-scale infrastructure facilities and public utilities
involving the social and public interests and public safety;
?。ǘ┤炕蛘卟糠质褂脟?guó)有資金投資或者國(guó)家融資的項(xiàng)目;
2. projects which are, completely or partly, invested by the State-owned funds
or funded through State financing; and
(三)使用國(guó)際組織或者外國(guó)政府貸款、援助資金的項(xiàng)目。
3. projects using loans or aid funds from international organizations or
foreign governments.
前款所列項(xiàng)目的具體范圍和規(guī)模標(biāo)準(zhǔn),由國(guó)務(wù)院發(fā)展計(jì)劃部門(mén)會(huì)同國(guó)務(wù)院有關(guān)部門(mén)制訂,報(bào)國(guó)務(wù)院批準(zhǔn)。
The specific scope and standards on the scale of the projects listed in the
preceding paragraph shall be worked out by the department of the State Council
for development planning, jointly with relevant departments of the State
Council, and be reported to the State Council for approval.
法律或者國(guó)務(wù)院對(duì)必須進(jìn)行招標(biāo)的其他項(xiàng)目的范圍有規(guī)定的,依照其規(guī)定。
If laws or the State Council have the provisions on the scope of other
projects which must be subject to tenders, such provisions shall govern.
第四條 任何單位和個(gè)人不得將依法必須進(jìn)行招標(biāo)的項(xiàng)目化整為零或者以其他任何方式規(guī)避招標(biāo)。
Article 4 No unit or person may break a project subject to tender into parts
or resort to any other manner to dodge tender.
第五條 招標(biāo)投標(biāo)活動(dòng)應(yīng)當(dāng)遵循公開(kāi)、公平、公正和誠(chéng)實(shí)信用的原則。
Article 5 Tender and bid activities shall conform to the principles of
openness, fairness, impartiality and good faith.
第六條 依法必須進(jìn)行招標(biāo)的項(xiàng)目,其招標(biāo)投標(biāo)活動(dòng)不受地區(qū)或者部門(mén)的限制。
Article 6 Tender and bid activities for a project subject to tender according
to law shall not be restricted by areas or departments.
任何單位和個(gè)人不得違法限制或者排斥本地區(qū)、本系統(tǒng)以外的法人或者其他組織參加投標(biāo),不得以任何方式非法干涉招標(biāo)投標(biāo)活動(dòng)。
No unit or person may illegally restrict or exclude legal persons or other
organizations from other areas or systems to take part in bidding or interfere
in tender and bid activities in any form.
第七條 招標(biāo)投標(biāo)活動(dòng)及其當(dāng)事人應(yīng)當(dāng)接受依法實(shí)施的監(jiān)督。
Article 7 Tender and bid activities and the parties thereto shall be subject
to supervision imposed according to law.
有關(guān)行政監(jiān)督部門(mén)依法對(duì)招標(biāo)投標(biāo)活動(dòng)實(shí)施監(jiān)督,依法查處招標(biāo)投標(biāo)活動(dòng)中的違法行為。
Relevant departments for administrative supervision shall impose supervision
on tender and bid activities according to law and investigate into and deal with
any illegal act therein.
對(duì)招標(biāo)投標(biāo)活動(dòng)的行政監(jiān)督及有關(guān)部門(mén)的具體職權(quán)劃分,由國(guó)務(wù)院規(guī)定。
Administrative supervision on tender and bid activities and the specific
duties and powers of relevant departments shall be laid down by the State
Council.
第二章 招 標(biāo)
Chapter II Tenders
第八條 招標(biāo)人是依照本法規(guī)定提出招標(biāo)項(xiàng)目、進(jìn)行招標(biāo)的法人或者其他組織。
Article 8 A tenderer is a legal person or any other organization that, in
accordance with the provisions of this Law, puts forth a project subject to
tender and carries out the tender.
第九條 招標(biāo)項(xiàng)目按照國(guó)家有關(guān)規(guī)定需要履行項(xiàng)目審批手續(xù)的,應(yīng)當(dāng)先履行審批手續(xù),取得批準(zhǔn)。
Article 9 If a project subject to tender, in accordance with the relevant
regulations of the State, is required to accomplish examination and approval
procedures, it shall do so and obtain approval in advance.
招標(biāo)人應(yīng)當(dāng)有進(jìn)行招標(biāo)項(xiàng)目的相應(yīng)資金或者資金來(lái)源已經(jīng)落實(shí),并應(yīng)當(dāng)在招標(biāo)文件中如實(shí)載明。
A tenderer shall have necessary funds or sources of funds for the project
subject to tender and shall state it truthfully in his tender documents.
第十條 招標(biāo)分為公開(kāi)招標(biāo)和邀請(qǐng)招標(biāo)。
Article 10 Tenders include public tenders and invitational tenders.
公開(kāi)招標(biāo),是指招標(biāo)人以招標(biāo)公告的方式邀請(qǐng)不特定的法人或者其他組織投標(biāo)。
A public tender means that a tenderer, in the form of tender announcement,
invites unspecified legal persons or other unspecified organizations to submit
their bids.
邀請(qǐng)招標(biāo),是指招標(biāo)人以投標(biāo)邀請(qǐng)書(shū)的方式邀請(qǐng)?zhí)囟ǖ姆ㄈ嘶蛘咂渌M織投標(biāo)。
An invitational tender means that a tenderer, in the form of invitation for
submission of bid, invites specified legal persons or other specified
organizations to submit their bids.
第十一條
國(guó)務(wù)院發(fā)展計(jì)劃部門(mén)確定的國(guó)家重點(diǎn)項(xiàng)目和省、自治區(qū)、直轄市人民政府確定的地方重點(diǎn)項(xiàng)目不適宜公開(kāi)招標(biāo)的,經(jīng)國(guó)務(wù)院發(fā)展計(jì)劃部門(mén)或者省、自治區(qū)、直轄市人民政府批準(zhǔn),可以進(jìn)行邀請(qǐng)招標(biāo)。
Article 11 If a national key project determined by the department of the State
Council for development planning or a local key project determined by the
people's government of a province, an autonomous region or a municipality
directly under the Central Government is not suitable for carrying out public
tender, it may be subject to invitational tender with approval of the department
of the State Council for development planning or the people's government of the
province, autonomous region or municipality under the Central Government.
第十二條 招標(biāo)人有權(quán)自行選擇招標(biāo)代理機(jī)構(gòu),委托其辦理招標(biāo)事宜。
Article 12 A tenderer shall have the right to choose, on his own, a
procuratorial agency and authorize it to carry out the tender.
任何單位和個(gè)人不得以任何方式為招標(biāo)人指定招標(biāo)代理機(jī)構(gòu)。
No unit or person may designate a procuratorial agency for the tenderer in any
form.
招標(biāo)人具有編制招標(biāo)文件和組織評(píng)標(biāo)能力的,可以自行辦理招標(biāo)事宜。
A tenderer who has the capability of preparing his tender documents and
organizing bid assessments may carry out the tender by himself.
任何單位和個(gè)人不得強(qiáng)制其委托招標(biāo)代理機(jī)構(gòu)辦理招標(biāo)事宜。
No unit or person may compel the tenderer to authorize a procuratorial agency
to carry out the tender.
依法必須進(jìn)行招標(biāo)的項(xiàng)目,招標(biāo)人自行辦理招標(biāo)事宜的,應(yīng)當(dāng)向有關(guān)行政監(jiān)督部門(mén)備案。
If a tenderer carries out the tender by himself for a project subject to
tender according to law, the matter shall be reported to the relevant department
for administrative supervision for the record.
第十三條 招標(biāo)代理機(jī)構(gòu)是依法設(shè)立、從事招標(biāo)代理業(yè)務(wù)并提供相關(guān)服務(wù)的社會(huì)中介組織。
Article 13 A procuratorial agency is a social intermediary organization which
is established according to law to engage in the procuratorial tender business
and to provide related services.
招標(biāo)代理機(jī)構(gòu)應(yīng)當(dāng)具備下列條件:
A procuratorial agency shall satisfy the following conditions:
?。ㄒ唬┯袕氖抡袠?biāo)代理業(yè)務(wù)的營(yíng)業(yè)場(chǎng)所和相應(yīng)資金;
1. Having a business site and necessary amount of capital for carrying out the
procuratorial tender business;
(二)有能夠編制招標(biāo)文件和組織評(píng)標(biāo)的相應(yīng)專(zhuān)業(yè)力量;
2. Having a qualified technical and academic force capable of preparing the
tender documents and organizing bid assessments; and
?。ㄈ┯蟹媳痉ǖ谌邨l第三款規(guī)定條件、可以作為評(píng)標(biāo)委員會(huì)成員人選的技術(shù)、經(jīng)濟(jì)等方面的專(zhuān)家?guī)臁?br>
3. Having a bank of experts in such fields as technology and economics who
satisfy the conditions laid down in Paragraph 3 of Article 37 of this Law and
can serve as candidates of members of the bid assessment committees.
第十四條 從事工程建設(shè)項(xiàng)目招標(biāo)代理業(yè)務(wù)的招標(biāo)代理機(jī)構(gòu),其資格由國(guó)務(wù)院或者省、自治區(qū)、直轄市人民政府的建設(shè)行政主管部門(mén)認(rèn)定。
Article 14 Qualifications of procuratorial agencies engaging in the
procuratorial tender business of construction projects shall be determined by
the competent administrative departments for construction of the State Council
or of the people's governments of provinces, autonomous regions or
municipalities directly under the Central Government.
具體辦法由國(guó)務(wù)院建設(shè)行政主管部門(mén)會(huì)同國(guó)務(wù)院有關(guān)部門(mén)制定。
Concrete measures therefor shall be formulated by the competent administrative
department of the State Council for construction, jointly with relevant
departments of the State Council.
從事其他招標(biāo)代理業(yè)務(wù)的招標(biāo)代理機(jī)構(gòu),其資格認(rèn)定的主管部門(mén)由國(guó)務(wù)院規(guī)定。
The competent departments for determination of qualifications of procuratorial
agencies engaging in other procuratorial tender businesses shall be laid down by
the State Council.
招標(biāo)代理機(jī)構(gòu)與行政機(jī)關(guān)和其他國(guó)家機(jī)關(guān)不得存在隸屬關(guān)系或者其他利益關(guān)系。
Procuratorial agencies may not have any subordination relations or other
interest relations with administrative organs and other State organs.
第十五條 招標(biāo)代理機(jī)構(gòu)應(yīng)當(dāng)在招標(biāo)人委托的范圍內(nèi)辦理招標(biāo)事宜,并遵守本法關(guān)于招標(biāo)人的規(guī)定。
Article 15 A procuratorial agency shall carry out the tender within the scope
authorized by the tenderer and shall comply with the provisions of this Law on
tenderers.
第十六條 招標(biāo)人采用公開(kāi)招標(biāo)方式的,應(yīng)當(dāng)發(fā)布招標(biāo)公告。
Article 16 A tenderer who adopts the public tender method shall issue a tender
announcement.
依法必須進(jìn)行招標(biāo)的項(xiàng)目的招標(biāo)公告,應(yīng)當(dāng)通過(guò)國(guó)家指定的報(bào)刊、信息網(wǎng)絡(luò)或者其他媒介發(fā)布。
The tender announcements of projects subject to tender according to law must
be issued in newspapers, periodicals, information networks or other media
designated by the State.
招標(biāo)公告應(yīng)當(dāng)載明招標(biāo)人的名稱(chēng)和地址、招標(biāo)項(xiàng)目的性質(zhì)、數(shù)量、實(shí)施地點(diǎn)和時(shí)間以及獲取招標(biāo)文件的辦法等事項(xiàng)。
A tender announcement shall clearly contain such particulars as the name and
address of the tenderer, nature of the project subject to tender, quantity,
place and time of implementation and methods to acquire the tender documents.
第十七條 招標(biāo)人采用邀請(qǐng)招標(biāo)方式的,應(yīng)當(dāng)向三個(gè)以上具備承擔(dān)招標(biāo)項(xiàng)目的能力、資信良好的特定的法人或者其他組織發(fā)出投標(biāo)邀請(qǐng)書(shū)。
Article 17 A tenderer who adopts the invitational tender method shall issue
invitations for submission of bids to three or more specified legal persons or
other specified organizations capable of undertaking the project subject to
tender and having a good reputation and creditworthiness.
投標(biāo)邀請(qǐng)書(shū)應(yīng)當(dāng)載明本法第十六條第二款規(guī)定的事項(xiàng)。
An invitation for submission of bid shall clearly contain the particulars set
forth in Paragraph 2 of Article 16 of this Law.
第十八條
招標(biāo)人可以根據(jù)招標(biāo)項(xiàng)目本身的要求,在招標(biāo)公告或者投標(biāo)邀請(qǐng)書(shū)中,要求潛在投標(biāo)人提供有關(guān)資質(zhì)證明文件和業(yè)績(jī)情況,并對(duì)潛在投標(biāo)人進(jìn)行資格審查;國(guó)家對(duì)投標(biāo)人的資格條件有規(guī)定的,依照其規(guī)定。
Article 18 A tenderer may, in accordance with the need of a project subject to
tender, demand the intended bidders to provide documentary evidences related to
their qualifications and information on their business performance in his tender
announcement or invitations for submission of bids, and shall examine the
qualifications of the intended bidders; and if the State has the provisions on
the qualifications of bidders, such provisions shall govern.
招標(biāo)人不得以不合理的條件限制或者排斥潛在投標(biāo)人,不得對(duì)潛在投標(biāo)人實(shí)行歧視待遇。
A tenderer may not restrict or exclude any intended bidder with unreasonable
requirements and may not apply discrimination treatment to any intended bidder.
第十九條 招標(biāo)人應(yīng)當(dāng)根據(jù)招標(biāo)項(xiàng)目的特點(diǎn)和需要編制招標(biāo)文件。
Article 19 A tenderer shall prepare the tender documents in accordance with
the features and needs of the project subject to tender.
招標(biāo)文件應(yīng)當(dāng)包括招標(biāo)項(xiàng)目的技術(shù)要求、對(duì)投標(biāo)人資格審查的標(biāo)準(zhǔn)、投標(biāo)報(bào)價(jià)要求和評(píng)標(biāo)標(biāo)準(zhǔn)等所有實(shí)質(zhì)性要求和條件以及擬簽訂合同的主要條款。
The tender documents shall contain all substantial requirements and terms as
technical requirements of the project subject to tender, standards on
examination of bidders' qualifications, requirements on bid price quotation and
bid assessment standards as well as main clauses of the contract to be signed.
國(guó)家對(duì)招標(biāo)項(xiàng)目的技術(shù)、標(biāo)準(zhǔn)有規(guī)定的,招標(biāo)人應(yīng)當(dāng)按照其規(guī)定在招標(biāo)文件中提出相應(yīng)要求。
If the State has the provisions on technologies and standards of projects
subject to tender, a tenderer shall, in accordance with these provisions, put
forward corresponding requirements in his tender documents.
招標(biāo)項(xiàng)目需要?jiǎng)澐謽?biāo)段、確定工期的,招標(biāo)人應(yīng)當(dāng)合理劃分標(biāo)段、確定工期,并在招標(biāo)文件中載明。
If a project subject to tender needs to be divided into bid lots or to
determine the construction period, the tenderer shall reasonably make such
division or decision and shall state it in his tender documents clearly.
第二十條 招標(biāo)文件不得要求或者標(biāo)明特定的生產(chǎn)供應(yīng)者以及含有傾向或者排斥潛在投標(biāo)人的其他內(nèi)容。
Article 20 No tender document may require or specify any specified producer or
supplier or contain any other contents favoring or excluding intended bidders.
第二十一條 招標(biāo)人根據(jù)招標(biāo)項(xiàng)目的具體情況,可以組織潛在投標(biāo)人踏勘項(xiàng)目現(xiàn)場(chǎng)。
Article 21 A tenderer may, in accordance with the actual conditions of a
project subject to tender, organize intended bidders to inspect and survey the
site of the project.
第二十二條 招標(biāo)人不得向他人透露已獲取招標(biāo)文件的潛在投標(biāo)人的名稱(chēng)、數(shù)量以及可能影響公平競(jìng)爭(zhēng)的有關(guān)招標(biāo)投標(biāo)的其他情況。
Article 22 A tenderer may not disclose to another person the names and number
of intended bidders already acquired his tender documents or other information
that might affect fair competition related to tender and bid activities.
招標(biāo)人設(shè)有標(biāo)底的,標(biāo)底必須保密。
If a tenderer has a base bid price, it must be kept secret and confidential.
第二十三條 招標(biāo)人對(duì)已發(fā)出的招標(biāo)文件進(jìn)行必要的澄清或者修改的,應(yīng)當(dāng)在招標(biāo)文件要求提交投標(biāo)文件截止時(shí)間至少十五日前,以書(shū)面形式通知所有招標(biāo)文件收受人。
Article 23 A tenderer who desires to make necessary clarifications or
modifications in his tender documents already issued shall notify all receivers
of his tender documents in a written form at least 15 days prior to the deadline
for submission of bid documents set in his tender documents.
該澄清或者修改的內(nèi)容為招標(biāo)文件的組成部分。
Such clarifications or modifications shall be the constituent of his tender
documents.
第二十四條
招標(biāo)人應(yīng)當(dāng)確定投標(biāo)人編制投標(biāo)文件所需要的合理時(shí)間;但是,依法必須進(jìn)行招標(biāo)的項(xiàng)目,自招標(biāo)文件開(kāi)始發(fā)出之日起至投標(biāo)人提交投標(biāo)文件截止之日止,最短不得少于二十日。
Article 24 A tenderer shall set a reasonable period of time for bidders
necessary for preparing their bid documents; nevertheless, for a project subject
to tender according to law, the minimum period from the issue date of the tender
documents to the deadline for submission of bid documents by bidders may not be
less than 20 days.
第三章 投 標(biāo)
Chapter III Bids
第二十五條 投標(biāo)人是響應(yīng)招標(biāo)、參加投標(biāo)競(jìng)爭(zhēng)的法人或者其他組織。
Article 25 A bidder means a legal person or any other organization that
responds to a tender and participates in bid competition.
依法招標(biāo)的科研項(xiàng)目允許個(gè)人參加投標(biāo)的,投標(biāo)的個(gè)人適用本法有關(guān)投標(biāo)人的規(guī)定。
If a scientific research project subject to tender according to law allows
individual persons to participate in bidding, the provisions of this Law on
bidders shall apply to individual persons participating in bidding.
第二十六條 投標(biāo)人應(yīng)當(dāng)具備承擔(dān)招標(biāo)項(xiàng)目的能力;國(guó)家有關(guān)規(guī)定對(duì)投標(biāo)人資格條件或者招標(biāo)文件對(duì)投標(biāo)人資格條件有規(guī)定的,投標(biāo)人應(yīng)當(dāng)具備規(guī)定的資格條件。
Article 26 A bidder shall have the capability to undertake the project subject
to tender; and if the State has the provisions on the qualifications of bidders
or the tender documents specifies the qualifications for bidders, a bidder shall
have the qualifications provided or specified.
第二十七條 投標(biāo)人應(yīng)當(dāng)按照招標(biāo)文件的要求編制投標(biāo)文件。
Article 27 A bidder shall prepare his bid documents as required by the tender
documents.
投標(biāo)文件應(yīng)當(dāng)對(duì)招標(biāo)文件提出的實(shí)質(zhì)性要求和條件作出響應(yīng)。
The bid documents shall respond to the substantial requirements and terms put
forward in the tender documents.
招標(biāo)項(xiàng)目屬于建設(shè)施工的,投標(biāo)文件的內(nèi)容應(yīng)當(dāng)包括擬派出的項(xiàng)目負(fù)責(zé)人與主要技術(shù)人員的簡(jiǎn)歷、業(yè)績(jī)和擬用于完成招標(biāo)項(xiàng)目的機(jī)械設(shè)備等。
If a project subject to tender is a construction project, the contents of the
bid documents shall contain the profiles and business performances of the
persons-in-charge of the project and major technical personnel to be appointed
as well as machinery and equipment to be employed for the project.
第二十八條 投標(biāo)人應(yīng)當(dāng)在招標(biāo)文件要求提交投標(biāo)文件的截止時(shí)間前,將投標(biāo)文件送達(dá)投標(biāo)地點(diǎn)。
Article 28 A bidder shall deliver his bid documents to the place of submission
prior to the deadline for submission set in the tender documents.
招標(biāo)人收到投標(biāo)文件后,應(yīng)當(dāng)簽收保存,不得開(kāi)啟。
The tenderer shall sign and keep the bid documents when receiving and may not
open them.
投標(biāo)人少于三個(gè)的,招標(biāo)人應(yīng)當(dāng)依照本法重新招標(biāo)。
If the number of bidders is less than three, the tenderer shall issue the
tender anew according to this Law.
在招標(biāo)文件要求提交投標(biāo)文件的截止時(shí)間后送達(dá)的投標(biāo)文件,招標(biāo)人應(yīng)當(dāng)拒收。
The tenderer shall refuse to accept any bid documents delivered after the
deadline for submission set in the tender documents.
第二十九條 投標(biāo)人在招標(biāo)文件要求提交投標(biāo)文件的截止時(shí)間前,可以補(bǔ)充、修改或者撤回已提交的投標(biāo)文件,并書(shū)面通知招標(biāo)人。
Article 29 Prior to the deadline for submission of bid documents set in the
tender documents, a bidder may supplement, modify or withdraw his bid documents
already delivered and shall notify the tenderer in writing.
補(bǔ)充、修改的內(nèi)容為投標(biāo)文件的組成部分。
Such supplements or modifications shall be the constituent of his bid
documents.
第三十條 投標(biāo)人根據(jù)招標(biāo)文件載明的項(xiàng)目實(shí)際情況,擬在中標(biāo)后將中標(biāo)項(xiàng)目的部分非主體、非關(guān)鍵性工作進(jìn)行分包的,應(yīng)當(dāng)在投標(biāo)文件中載明。
Article 30 A bidder who, in consideration of the actual conditions of the
project stated in the tender documents, intends to subcontract some parts of the
project excluding the main structure and critical work after winning the
project, shall make clear statements in his bid documents.
第三十一條 兩個(gè)以上法人或者其他組織可以組成一個(gè)聯(lián)合體,以一個(gè)投標(biāo)人的身份共同投標(biāo)。
Article 31 Two or more legal persons or other organizations may form a
consortium and jointly submit their bids as one bidder.
聯(lián)合體各方均應(yīng)當(dāng)具備承擔(dān)招標(biāo)項(xiàng)目的相應(yīng)能力;國(guó)家有關(guān)規(guī)定或者招標(biāo)文件對(duì)投標(biāo)人資格條件有規(guī)定的,聯(lián)合體各方均應(yīng)當(dāng)具備規(guī)定的相應(yīng)資格條件。
Each party to the consortium shall have corresponding capability to undertake
the project subject to tender; if the State or the tender documents have
provisions on the qualifications of bidders, all parties to the consortium shall
have the corresponding qualifications provided.
由同一專(zhuān)業(yè)的單位組成的聯(lián)合體,按照資質(zhì)等級(jí)較低的單位確定資質(zhì)等級(jí)。
If units of the same profession form a consortium, the grade of qualifications
shall be determined according to the unit with lowest qualification level.
聯(lián)合體各方應(yīng)當(dāng)簽訂共同投標(biāo)協(xié)議,明確約定各方擬承擔(dān)的工作和責(zé)任,并將共同投標(biāo)協(xié)議連同投標(biāo)文件一并提交招標(biāo)人。
Parties to a consortium shall enter into an agreement on joint submission of
bid to define the work and responsibility to be assumed by each of them, and
shall deliver the said agreement to the tenderer together with the bid
documents.
聯(lián)合體中標(biāo)的,聯(lián)合體各方應(yīng)當(dāng)共同與招標(biāo)人簽訂合同,就中標(biāo)項(xiàng)目向招標(biāo)人承擔(dān)連帶責(zé)任。
If a consortium wins the bid, the parties thereto shall jointly enter into a
contract with the tenderer and assume joint and several liability over the
winning project to the tenderer.
招標(biāo)人不得強(qiáng)制投標(biāo)人組成聯(lián)合體共同投標(biāo),不得限制投標(biāo)人之間的競(jìng)爭(zhēng)。
A tenderer may not compel bidders to form a consortium to make joint bidding
and may not restrict competition among bidders.
第三十二條 投標(biāo)人不得相互串通投標(biāo)報(bào)價(jià),不得排擠其他投標(biāo)人的公平競(jìng)爭(zhēng),損害招標(biāo)人或者其他投標(biāo)人的合法權(quán)益。
Article 32 A bidder may not collude with other bidders in submitting their bid
price quotations or discriminate fair competition by other bidders to prejudice
the legitimate rights and interests of the tenderer or other bidders.
投標(biāo)人不得與招標(biāo)人串通投標(biāo),損害國(guó)家利益、社會(huì)公共利益或者他人的合法權(quán)益。
A bidder may not collude with the tenderer in submitting his bid to prejudice
the State's interests, the social and public interests or the legitimate rights
and interests of any other person.
禁止投標(biāo)人以向招標(biāo)人或者評(píng)標(biāo)委員會(huì)成員行賄的手段謀取中標(biāo)。
It is forbidden for bidders to offer bribes to the tenderers or members of the
bid assessment committees for winning.
第三十三條 投標(biāo)人不得以低于成本的報(bào)價(jià)競(jìng)標(biāo),也不得以他人名義投標(biāo)或者以其他方式弄虛作假,騙取中標(biāo)。
Article 33 A bidder may not submit his bid price quotation below cost for
competition, and may not submit his bid in the name of another person or resort
to any other false and deceptive method for winning.
第四章 開(kāi)標(biāo)、評(píng)標(biāo)和中標(biāo)
Chapter IV Bid Opening, Assessment and Winning
第三十四條 開(kāi)標(biāo)應(yīng)當(dāng)在招標(biāo)文件確定的提交投標(biāo)文件截止時(shí)間的同一時(shí)間公開(kāi)進(jìn)行;開(kāi)標(biāo)地點(diǎn)應(yīng)當(dāng)為招標(biāo)文件中預(yù)先確定的地點(diǎn)。
Article 34 Bid opening shall be started openly at the same time of the
deadline for submission of bid documents set in the tender documents; and the
place of opening bids shall be the place predetermined in the tender documents.
第三十五條 開(kāi)標(biāo)由招標(biāo)人主持,邀請(qǐng)所有投標(biāo)人參加。
Article 35 Bid opening shall be presided over by the tenderer, and all bidders
shall be invited to join.
第三十六條
開(kāi)標(biāo)時(shí),由投標(biāo)人或者其推選的代表檢查投標(biāo)文件的密封情況,也可以由招標(biāo)人委托的公證機(jī)構(gòu)檢查并公證;經(jīng)確認(rèn)無(wú)誤后,由工作人員當(dāng)眾拆封,宣讀投標(biāo)人名稱(chēng)、投標(biāo)價(jià)格和投標(biāo)文件的其他主要內(nèi)容。
Article 36 When opening bids, the bidders or the representatives selected by
them shall check the sealing of bid documents, and the sealing may also be
checked and notarized by the notary organization commissioned by the tenderer;
after being checked and verified, the working personnel shall open them in
public, announce the names of bidders, bid price quotations and other main
contents of bid documents.
招標(biāo)人在招標(biāo)文件要求提交投標(biāo)文件的截止時(shí)間前收到的所有投標(biāo)文件,開(kāi)標(biāo)時(shí)都應(yīng)當(dāng)當(dāng)眾予以拆封、宣讀。
All bid documents received by the tenderer prior to the deadline for
submission set in the tender documents shall be opened and announced in public
when opening bids.
開(kāi)標(biāo)過(guò)程應(yīng)當(dāng)記錄,并存檔備查。
Records on the bid opening shall be made and shall be placed on files for
future reference.
第三十七條 評(píng)標(biāo)由招標(biāo)人依法組建的評(píng)標(biāo)委員會(huì)負(fù)責(zé)。
Article 37 Bid assessment shall be the responsibility of the bid assessment
committee established according to law by the tenderer.
依法必須進(jìn)行招標(biāo)的項(xiàng)目,其評(píng)標(biāo)委員會(huì)由招標(biāo)人的代表和有關(guān)技術(shù)、經(jīng)濟(jì)等方面的專(zhuān)家組成,成員人數(shù)為五人以上單數(shù),其中技術(shù)、經(jīng)濟(jì)等方面的專(zhuān)家不得少于成員總數(shù)的三分之二。
If a project must be subject to tender according to law, the bid assessment
committee shall be composed of the representative of the tenderer and experts in
the related technological and economic fields, and the number of committee
members shall be an odd number at or above five, of the members, experts in
technological and economic fields may not be less than two-thirds of the total
members.
前款專(zhuān)家應(yīng)當(dāng)從事相關(guān)領(lǐng)域工作滿八年并具有高級(jí)職稱(chēng)或者具有同等專(zhuān)業(yè)水平,由招標(biāo)人從國(guó)務(wù)院有關(guān)部門(mén)或者省、自治區(qū)、直轄市人民政府有關(guān)部門(mén)提供的專(zhuān)家名冊(cè)或者招標(biāo)代理機(jī)構(gòu)的專(zhuān)家?guī)靸?nèi)的相關(guān)專(zhuān)業(yè)的專(zhuān)家名單中確定;
Experts mentioned in the preceding paragraph shall have worked in the related
fields for eight years or longer, have senior academic titles or the same
professional level, and they shall be chosen from the name lists of experts
provided by relevant departments of the State Council or relevant departments of
the people's governments of provinces, autonomous regions and municipalities
directly under the Central Government, or from the name list of experts in
related fields in the expert bank of the procuratorial agency;
一般招標(biāo)項(xiàng)目可以采取隨機(jī)抽取方式,特殊招標(biāo)項(xiàng)目可以由招標(biāo)人直接確定。
for an ordinary project subject to tender, the experts may be chosen randomly,
and for a special project subject to tender, the experts may be directly chosen
by the tenderer.
與投標(biāo)人有利害關(guān)系的人不得進(jìn)入相關(guān)項(xiàng)目的評(píng)標(biāo)委員會(huì);已經(jīng)進(jìn)入的應(yīng)當(dāng)更換。
A person having an interest with a bidder may not join the bid assessment
committee of the related project and; if already joined, shall be replaced.
評(píng)標(biāo)委員會(huì)成員的名單在中標(biāo)結(jié)果確定前應(yīng)當(dāng)保密。
The name list of members of the bid assessment committee shall be kept secret
and confidential before the bidding result is made.
第三十八條 招標(biāo)人應(yīng)當(dāng)采取必要的措施,保證評(píng)標(biāo)在嚴(yán)格保密的情況下進(jìn)行。
Article 38 A tenderer shall take necessary measures to guarantee that bid
assessment is carried out in a strictly secret and confidential situation.
任何單位和個(gè)人不得非法干預(yù)、影響評(píng)標(biāo)的過(guò)程和結(jié)果。
No unit or person may illegally interfere or affect the bid assessment
procedure or result.
第三十九條 評(píng)標(biāo)委員會(huì)可以要求投標(biāo)人對(duì)投標(biāo)文件中含義不明確的內(nèi)容作必要的澄清或者說(shuō)明,但是澄清或者說(shuō)明不得超出投標(biāo)文件的范圍或者改變投標(biāo)文件的實(shí)質(zhì)性?xún)?nèi)容。
Article 39 The bid assessment committee may demand a bidder to make necessary
clarifications or explanations on the contents with ambiguous denotation of his
bid documents, however, such clarifications or explanations may not exceed the
scope of his bid documents or alter any substantial contents of his bid
documents.
第四十條 評(píng)標(biāo)委員會(huì)應(yīng)當(dāng)按照招標(biāo)文件確定的評(píng)標(biāo)標(biāo)準(zhǔn)和方法,對(duì)投標(biāo)文件進(jìn)行評(píng)審和比較;設(shè)有標(biāo)底的,應(yīng)當(dāng)參考標(biāo)底。
Article 40 The bid assessment committee shall assess and compare all bid
documents in accordance with the bid assessment standards and methods set in the
tender documents and; if there is a base bid price, shall take it as reference.
評(píng)標(biāo)委員會(huì)完成評(píng)標(biāo)后,應(yīng)當(dāng)向招標(biāo)人提出書(shū)面評(píng)標(biāo)報(bào)告,并推薦合格的中標(biāo)候選人。
After finishing the assessment, the bid assessment committee shall give a
written report thereon to the tenderer and recommend the qualified candidate
winning bidders.
招標(biāo)人根據(jù)評(píng)標(biāo)委員會(huì)提出的書(shū)面評(píng)標(biāo)報(bào)告和推薦的中標(biāo)候選人確定中標(biāo)人。
The tenderer shall, pursuant to the written report on bid assessment given by
the bid assessment committee, determine the winning bidder from among the
candidate winning bidders recommended by the bid assessment committee.
招標(biāo)人也可以授權(quán)評(píng)標(biāo)委員會(huì)直接確定中標(biāo)人。
The tenderer may also authorize the bid assessment committee to directly
determine the winning bidder.
國(guó)務(wù)院對(duì)特定招標(biāo)項(xiàng)目的評(píng)標(biāo)有特別規(guī)定的,從其規(guī)定。
If the State Council has the special provisions on bid assessment of specified
projects subject to tender, such provisions shall govern.
第四十一條 中標(biāo)人的投標(biāo)應(yīng)當(dāng)符合下列條件之一:
Article 41 The bid of a winning bidder shall satisfy any of the following
requirements:
?。ㄒ唬┠軌蜃畲笙薅鹊貪M足招標(biāo)文件中規(guī)定的各項(xiàng)綜合評(píng)價(jià)標(biāo)準(zhǔn);
1. to be able to satisfy the maximum various comprehensive assessment
standards set in the tender documents; or
?。ǘ┠軌驖M足招標(biāo)文件的實(shí)質(zhì)性要求,并且經(jīng)評(píng)審的投標(biāo)價(jià)格最低;但是投標(biāo)價(jià)格低于成本的除外。
2. to be able to satisfy the substantial requirements set in the tender
documents and to have the lowest bid price quotation upon assessment, with the
exception of the bid price quotation which is below cost.
第四十二條 評(píng)標(biāo)委員會(huì)經(jīng)評(píng)審,認(rèn)為所有投標(biāo)都不符合招標(biāo)文件要求的,可以否決所有投標(biāo)。
Article 42 The bid assessment committee may deny all the bids if, after the
assessment, believes that they fail to satisfy the requirements set forth in the
tender documents.
依法必須進(jìn)行招標(biāo)的項(xiàng)目的所有投標(biāo)被否決的,招標(biāo)人應(yīng)當(dāng)依照本法重新招標(biāo)。
If all the bids on a project subject to tender according to law are denied,
the tenderer shall start the tender anew in accordance with this Law.
第四十三條 在確定中標(biāo)人前,招標(biāo)人不得與投標(biāo)人就投標(biāo)價(jià)格、投標(biāo)方案等實(shí)質(zhì)性?xún)?nèi)容進(jìn)行談判。
Article 43 Before the winning bidder is determined, the tenderer may not
negotiate with any bidder on such substantial contents as bid price or bidding
plan.
第四十四條 評(píng)標(biāo)委員會(huì)成員應(yīng)當(dāng)客觀、公正地履行職務(wù),遵守職業(yè)道德,對(duì)所提出的評(píng)審意見(jiàn)承擔(dān)個(gè)人責(zé)任。
Article 44 Members of the bid assessment committees shall objectively and
impartially perform their duties, comply with the code of ethics and be
personally liable for their assessment opinions.
評(píng)標(biāo)委員會(huì)成員不得私下接觸投標(biāo)人,不得收受投標(biāo)人的財(cái)物或者其他好處。
A member of a bid assessment committee may not contact any bidder privately
and may not accept property or other benefits from any bidder.
評(píng)標(biāo)委員會(huì)成員和參與評(píng)標(biāo)的有關(guān)工作人員不得透露對(duì)投標(biāo)文件的評(píng)審和比較、中標(biāo)候選人的推薦情況以及與評(píng)標(biāo)有關(guān)的其他情況。
Members of the bid assessment committees and working personnel taking part in
bid assessment may not disclose their bid assessment and comparison of bid
documents, recommendation information about candidate winning bidders and other
information related to bid assessment.
第四十五條 中標(biāo)人確定后,招標(biāo)人應(yīng)當(dāng)向中標(biāo)人發(fā)出中標(biāo)通知書(shū),并同時(shí)將中標(biāo)結(jié)果通知所有未中標(biāo)的投標(biāo)人。
Article 45 When the winning bidder is determined, the tenderer shall issue a
bid-winning notice to the former and concurrently, notify all bidders who do not
win the bid about the result.
中標(biāo)通知書(shū)對(duì)招標(biāo)人和中標(biāo)人具有法律效力。
The bid-winning notice is legally binding on both the tenderer and the winning
bidder.
中標(biāo)通知書(shū)發(fā)出后,招標(biāo)人改變中標(biāo)結(jié)果的,或者中標(biāo)人放棄中標(biāo)項(xiàng)目的,應(yīng)當(dāng)依法承擔(dān)法律責(zé)任。
If, after the bid-winning notice is issued, the tenderer alters the bidding
result or the winning bidder waives the winning project, the said tenderer or
the said winning bidder shall bear legal liabilities according to law.
第四十六條 招標(biāo)人和中標(biāo)人應(yīng)當(dāng)自中標(biāo)通知書(shū)發(fā)出之日起三十日內(nèi),按照招標(biāo)文件和中標(biāo)人的投標(biāo)文件訂立書(shū)面合同。
Article 46 Within 30 days following the date of issuance of the bid-winning
notice, the tenderer and the winning bidder shall enter into a written contract
in accordance with the tender documents and the bid documents of the winning
bidder.
招標(biāo)人和中標(biāo)人不得再行訂立背離合同實(shí)質(zhì)性?xún)?nèi)容的其他協(xié)議。
The tenderer and the winning bidder may not conclude any other agreement
contrary to the substantial contents of the contract.
招標(biāo)文件要求中標(biāo)人提交履約保證金的,中標(biāo)人應(yīng)當(dāng)提交。
If the tender documents require the winning bidder to provide an earnest for
performance of contract, the winning bidder shall provide it.
第四十七條 依法必須進(jìn)行招標(biāo)的項(xiàng)目,招標(biāo)人應(yīng)當(dāng)自確定中標(biāo)人之日起十五日內(nèi),向有關(guān)行政監(jiān)督部門(mén)提交招標(biāo)投標(biāo)情況的書(shū)面報(bào)告。
Article 47 If a project must be subject to tender according to law, the
tenderer shall, within 15 days following the date of determining the winning
bidder, submit a written report about the tender and bid to the relevant
department for administrative supervision.
第四十八條 中標(biāo)人應(yīng)當(dāng)按照合同約定履行義務(wù),完成中標(biāo)項(xiàng)目。
Article 48 A winning bidder shall fulfil his obligations as contracted and
complete the winning project.
中標(biāo)人不得向他人轉(zhuǎn)讓中標(biāo)項(xiàng)目,也不得將中標(biāo)項(xiàng)目肢解后分別向他人轉(zhuǎn)讓。
A winning bidder may not transfer the winning project to another person and
may not break the winning project into parts for transferring them separately to
other persons.
中標(biāo)人按照合同約定或者經(jīng)招標(biāo)人同意,可以將中標(biāo)項(xiàng)目的部分非主體、非關(guān)鍵性工作分包給他人完成。
A winning bidder may, as contracted or upon consent of the tenderer,
subcontract parts of the winning project excluding the main structure and
critical work to other persons to complete them.
接受分包的人應(yīng)當(dāng)具備相應(yīng)的資格條件,并不得再次分包。
The persons accepting the subcontracts shall have corresponding qualifications
and may not subcontract it again to other persons.
中標(biāo)人應(yīng)當(dāng)就分包項(xiàng)目向招標(biāo)人負(fù)責(zé),接受分包的人就分包項(xiàng)目承擔(dān)連帶責(zé)任。
A winning bidder shall be accountable to the tenderer for the subcontracted
projects, and the persons accepting the subcontracts shall jointly and severally
be liable for the subcontracted parts.
第五章 法律責(zé)任
Chapter V Legal Liabilities
第四十九條
違反本法規(guī)定,必須進(jìn)行招標(biāo)的項(xiàng)目而不招標(biāo)的,將必須進(jìn)行招標(biāo)的項(xiàng)目化整為零或者以其他任何方式規(guī)避招標(biāo)的,責(zé)令限期改正,可以處項(xiàng)目合同金額千分之五以上千分之十以下的罰款;
Article 49 If a unit, in violation of the provisions of this Law, fails to
carry out a tender for a project subject to tender or breaks a project subject
to tender into parts or resorts to any other form to dodge tender, the unit
shall be ordered to make corrections within a given period of time and may be
imposed a fine exceeding 0.5 per cent and not exceeding 1 per cent of the
contracted sum of the winning project;
對(duì)全部或者部分使用國(guó)有資金的項(xiàng)目,可以暫停項(xiàng)目執(zhí)行或者暫停資金撥付;對(duì)單位直接負(fù)責(zé)的主管人員和其他直接責(zé)任人員依法給予處分。
if the project uses, completely or partly, the State-owned fund, the project
may be suspended or the allocation of fund may be suspended; and the
person-in-charge directly responsible and other persons directly responsible of
the unit shall be given sanctions according to law.
第五十條
招標(biāo)代理機(jī)構(gòu)違反本法規(guī)定,泄露應(yīng)當(dāng)保密的與招標(biāo)投標(biāo)活動(dòng)有關(guān)的情況和資料的,或者與招標(biāo)人、投標(biāo)人串通損害國(guó)家利益、社會(huì)公共利益或者他人合法權(quán)益的,處五萬(wàn)元以上二十五萬(wàn)元以下的罰款,對(duì)單位直接負(fù)責(zé)的主管人員和其他直接責(zé)任人員處單位罰款數(shù)額百分之五以上百分之十以下的罰款;
Article 50 If a procuratorial agency, in violation of the provisions of this
Law, divulges confidential information and materials related to the tender and
bid activity or colludes with a tender or bidder to prejudice the State's
interests, the social and public interests or the legitimate rights and
interests of other persons, the agency shall be imposed a fine exceeding 50,000
yuan and not exceeding 250,000 yuan and the person-in-charge directly
responsible and other persons directly responsible of the agency shall be
imposed a fine exceeding 5 per cent and not exceeding 10 per cent of the fine
imposed on the agency; the illegal gains therefrom, if any, shall be confiscated
of; if the circumstance is serious, its qualifications for procuratorial agency
shall be suspended or revoked; and if a crime is constituted, criminal
responsibility shall be demanded for according to law.
有違法所得的,并處沒(méi)收違法所得;情節(jié)嚴(yán)重的,暫停直至取消招標(biāo)代理資格;構(gòu)成犯罪的,依法追究刑事責(zé)任。給他人造成損失的,依法承擔(dān)賠償責(zé)任。
If any loss is caused to other persons, the agency shall be liable therefor
according to law.
前款所列行為影響中標(biāo)結(jié)果的,中標(biāo)無(wú)效。
If an act set forth in the preceding paragraph affects the bidding result, the
result shall be void and invalid.
第五十一條
招標(biāo)人以不合理的條件限制或者排斥潛在投標(biāo)人的,對(duì)潛在投標(biāo)人實(shí)行歧視待遇的,強(qiáng)制要求投標(biāo)人組成聯(lián)合體共同投標(biāo)的,或者限制投標(biāo)人之間競(jìng)爭(zhēng)的,責(zé)令改正,可以處一萬(wàn)元以上五萬(wàn)元以下的罰款。
Article 51 A tenderer who restricts or excludes an intended bidder with
unreasonable requirements, applies discriminate treatment to an intended bidder,
compels bidders to form a consortium to jointly submit their bids, or restricts
competition among the bidders, shall be ordered to make corrections and may be
imposed a fine exceeding 10,000 yuan and not exceeding 50,000 yuan.
第五十二條
依法必須進(jìn)行招標(biāo)的項(xiàng)目的招標(biāo)人向他人透露已獲取招標(biāo)文件的潛在投標(biāo)人的名稱(chēng)、數(shù)量或者可能影響公平競(jìng)爭(zhēng)的有關(guān)招標(biāo)投標(biāo)的其他情況的,或者泄露標(biāo)底的,給予警告,可以并處一萬(wàn)元以上十萬(wàn)元以下的罰款;
Article 52 If a tenderer for a project subject to tender according to law
discloses to another person the names and numbers of intended bidders who have
already acquired his tender documents or any other information related to the
tender and bid which likely affects fair competition, or leaks the base bid
price, the tenderer shall be given a warning and concurrently, may be imposed a
fine exceeding 10,000 yuan and not exceeding 100,000 yuan; the person-in-charge
directly responsible and other persons directly responsible of the tenderer
shall be given sanctions according to law; and if a crime is constituted,
criminal responsibility shall be demanded for according to law.
對(duì)單位直接負(fù)責(zé)的主管人員和其他直接責(zé)任人員依法給予處分;構(gòu)成犯罪的,依法追究刑事責(zé)任。
If an act set forth in the preceding paragraph affects the bidding result, the
result shall be void and invalid.
前款所列行為影響中標(biāo)結(jié)果的,中標(biāo)無(wú)效。
Article 53 If a bidder colludes with another bidder in submitting their bids
or colludes with the tenderer in submitting his bid, or if a bidder resorts to
the manner of offering bribes to the tenderer or members of the bid assessment
committee to win the bid, his winning of the bid shall be void and invalid, the
said bidder shall be imposed a fine exceeding 0.
第五十三條
投標(biāo)人相互串通投標(biāo)或者與招標(biāo)人串通投標(biāo)的,投標(biāo)人以向招標(biāo)人或者評(píng)標(biāo)委員會(huì)成員行賄的手段謀取中標(biāo)的,中標(biāo)無(wú)效,處中標(biāo)項(xiàng)目金額千分之五以上千分之十以下的罰款,對(duì)單位直接負(fù)責(zé)的主管人員和其他直接責(zé)任人員處單位罰款數(shù)額百分之五以上百分之十以下的罰款;
5 per cent and not exceeding 1 per cent of the sum of the winning project, the
person-in-charge directly responsible and other persons directly responsible of
the bidder shall be imposed a fine exceeding 5 per cent and not exceeding 10 per
cent of the fine imposed on the bidder;
有違法所得的,并處沒(méi)收違法所得;情節(jié)嚴(yán)重的,取消其一年至二年內(nèi)參加依法必須進(jìn)行招標(biāo)的項(xiàng)目的投標(biāo)資格并予以公告,直至由工商行政管理機(jī)關(guān)吊銷(xiāo)營(yíng)業(yè)執(zhí)照;構(gòu)成犯罪的,依法追究刑事責(zé)任。
the illegal gains therefrom, if any, shall be confiscated of concurrently; if
the circumstance is serious, his qualifications to take part in bidding of
projects subject to tender shall be cancelled for one to two years and the
cancellation shall be announced or even his business license shall be revoked by
the administrative department for industry and commerce; and if a crime is
constituted, criminal responsibility shall be demanded for according to law.
給他人造成損失的,依法承擔(dān)賠償責(zé)任。
If any loss is caused to other persons, the said bidder shall be liable
therefor according to law.
第五十四條 投標(biāo)人以他人名義投標(biāo)或者以其他方式弄虛作假,騙取中標(biāo)的,中標(biāo)無(wú)效,給招標(biāo)人造成損失的,依法承擔(dān)賠償責(zé)任;構(gòu)成犯罪的,依法追究刑事責(zé)任。
Article 54 If a bidder submits his bid in the name of another person or
resorts to deception to win the bid, his winning of the bid shall be void and
invalid, if a loss is caused to the tenderer, the said bidder shall be liable
therefor according to law; and if a crime is constituted, criminal
responsibility shall be demanded for according to law.
依法必須進(jìn)行招標(biāo)的項(xiàng)目的投標(biāo)人有前款所列行為尚未構(gòu)成犯罪的,處中標(biāo)項(xiàng)目金額千分之五以上千分之十以下的罰款,對(duì)單位直接負(fù)責(zé)的主管人員和其他直接責(zé)任人員處單位罰款數(shù)額百分之五以上百分之十以下的罰款;
If a bidder of a project subject to tender according to law commits an act set
forth in the preceding paragraph and does not commits a crime, the said bidder
shall be imposed a fine exceeding 0.5 per cent and not exceeding 1 per cent of
the sum of the winning project, the person-in-charge directly responsible and
other persons directly responsible of the bidder shall be imposed a fine
exceeding 5 per cent and not exceeding 10 per cent of the fine imposed on the
bidder;
有違法所得的,并處沒(méi)收違法所得;情節(jié)嚴(yán)重的,取消其一年至三年內(nèi)參加依法必須進(jìn)行招標(biāo)的項(xiàng)目的投標(biāo)資格并予以公告,直至由工商行政管理機(jī)關(guān)吊銷(xiāo)營(yíng)業(yè)執(zhí)照。
the illegal gains therefrom, if any, shall be confiscated of concurrently; and
if the circumstance is serious, his qualifications for taking part in bidding
for projects subject to tender according to law for one to three years shall be
cancelled and the cancellation shall be announced, or even his business license
shall be revoked by the administrative department for industry and commerce.
第五十五條
依法必須進(jìn)行招標(biāo)的項(xiàng)目,招標(biāo)人違反本法規(guī)定,與投標(biāo)人就投標(biāo)價(jià)格、投標(biāo)方案等實(shí)質(zhì)性?xún)?nèi)容進(jìn)行談判的,給予警告,對(duì)單位直接負(fù)責(zé)的主管人員和其他直接責(zé)任人員依法給予處分。
Article 55 If a tenderer for a project subject to tender according to law, in
violation of the provisions of this Law, negotiates with a bidder on such
substantial contents as the bid price or bidding plan, the said tenderer shall
be given a warning and the person-in-charge directly responsible and other
persons directly responsible of the said tenderer shall be given sanctions
according to law.
前款所列行為影響中標(biāo)結(jié)果的,中標(biāo)無(wú)效。
If an act set forth in the preceding paragraph affects the bidding result, the
result shall be void and invalid.
第五十六條
評(píng)標(biāo)委員會(huì)成員收受投標(biāo)人的財(cái)物或者其他好處的,評(píng)標(biāo)委員會(huì)成員或者參加評(píng)標(biāo)的有關(guān)工作人員向他人透露對(duì)投標(biāo)文件的評(píng)審和比較、中標(biāo)候選人的推薦以及與評(píng)標(biāo)有關(guān)的其他情況的,給予警告,沒(méi)收收受的財(cái)物,可以并處三千元以上五萬(wàn)元以下的罰款,對(duì)有所列違法行為的評(píng)標(biāo)委員會(huì)成員取消擔(dān)任評(píng)標(biāo)委員會(huì)成員的資格,不得再參加任何依法必須進(jìn)行招標(biāo)的項(xiàng)目的評(píng)標(biāo);構(gòu)成犯罪的,依法追究刑事責(zé)任。
Article 56 If a member of a bid assessment committee accepts property or other
benefits from a bidder or if a member of a bid assessment committee or a working
personnel taking part in the bid assessment discloses to another person the
assessment and comparison of bid documents, recommendation of candidate winning
bidders or any other information related to bid assessment, the member or the
personnel shall be given a warning, be confiscated of the property accepted and
may concurrently be imposed a fine exceeding 3,000 yuan and not exceeding 50,000
yuan, the member of the bid assessment committee committing any of the illegal
acts set forth shall be revoked his qualifications as a member of the committee
and may no longer take part in bid assessment of projects subject to tender
according to law; and if a crime is constituted, criminal responsibility shall
be demanded for according to law.
第五十七條 招標(biāo)人在評(píng)標(biāo)委員會(huì)依法推薦的中標(biāo)候選人以外確定中標(biāo)人的,依法必須進(jìn)行招標(biāo)的項(xiàng)目在所有投標(biāo)被評(píng)標(biāo)委員會(huì)否決后自行確定中標(biāo)人的,中標(biāo)無(wú)效。
Article 57 If a tenderer determines the winning bidder outside the candidate
winning bidders recommended according to law by the bid assessment committee or
determines on his own the winning bidder after all the bids for the project
subject to tender according to law were denied by the bid assessment committee,
the determination shall be void and invalid.
責(zé)令改正,可以處中標(biāo)項(xiàng)目金額千分之五以上千分之十以下的罰款;
The said tenderer shall be ordered to make corrections and may be imposed a
fine exceeding 0.5 per cent and not exceeding 1 per cent of the sum of the
winning project and;
對(duì)單位直接負(fù)責(zé)的主管人員和其他直接責(zé)任人員依法給予處分。

第五十八條 中標(biāo)人將中標(biāo)項(xiàng)目轉(zhuǎn)讓給他人的,將中標(biāo)項(xiàng)目肢解后分別轉(zhuǎn)讓給他人的,違反本法規(guī)定將中標(biāo)項(xiàng)目的部分主體、關(guān)鍵性工作分包給他人的,
Article 58 If a winning bidder transfers his winning project to another
person, breaks the winning project into parts and subcontracts them separately
to other persons or, in violation of the provisions of this Law, subcontracts
the main structure or critical work of the winning project to other persons,
或者分包人再次分包的,轉(zhuǎn)讓、分包無(wú)效,處轉(zhuǎn)讓、分包項(xiàng)目金額千分之五以上千分之十以下的罰款;
or if a subcontractor subcontracts his project again, the transfer or
subcontract shall be void and invalid, the winning bidder or the subcontractor
shall be imposed a fine exceeding 0.5 per cent and not exceeding 1 per cent of
the sum of the transferred or subcontracted project and concurrently;
有違法所得的,并處沒(méi)收違法所得;可以責(zé)令停業(yè)整頓;情節(jié)嚴(yán)重的,由工商行政管理機(jī)關(guān)吊銷(xiāo)營(yíng)業(yè)執(zhí)照。
be confiscated of the illegal gains therefrom, if any; and may be ordered to
stop his business for rectification; and if the circumstance is serious, the
administrative department for industry and commerce shall revoke his business
license.
第五十九條
招標(biāo)人與中標(biāo)人不按照招標(biāo)文件和中標(biāo)人的投標(biāo)文件訂立合同的,或者招標(biāo)人、中標(biāo)人訂立背離合同實(shí)質(zhì)性?xún)?nèi)容的協(xié)議的,責(zé)令改正;可以處中標(biāo)項(xiàng)目金額千分之五以上千分之十以下的罰款。
Article 59 If a tenderer and a winning bidder fail to enter into a contract in
accordance with the tender documents and the bid documents of the winning
bidder, or a tenderer and a winning bidder conclude an agreement contrary to the
substantial contents of the contract, they shall be ordered to make corrections;
and may be imposed a fine exceeding 0.5 per cent and not exceeding 1 per cent of
the sum of the winning project.
第六十條
中標(biāo)人不履行與招標(biāo)人訂立的合同的,履約保證金不予退還,給招標(biāo)人造成的損失超過(guò)履約保證金數(shù)額的,還應(yīng)當(dāng)對(duì)超過(guò)部分予以賠償;沒(méi)有提交履約保證金的,應(yīng)當(dāng)對(duì)招標(biāo)人的損失承擔(dān)賠償責(zé)任。
Article 60 If a winning bidder fails to perform the contract signed with the
tenderer, his earnest for performance of contract shall not be refunded, if a
loss caused to the tenderer is larger than the amount of earnest, the winning
bidder shall compensate the part in excess of the earnest; and if no earnest for
performance of contract is provided, the winning bidder shall be liable for any
loss of the tenderer.
中標(biāo)人不按照與招標(biāo)人訂立的合同履行義務(wù),情節(jié)嚴(yán)重的,取消其二年至五年內(nèi)參加依法必須進(jìn)行招標(biāo)的項(xiàng)目的投標(biāo)資格并予以公告,直至由工商行政管理機(jī)關(guān)吊銷(xiāo)營(yíng)業(yè)執(zhí)照。
If a winning bidder fails to fulfil his obligations according to the contract
signed with the tenderer and the circumstance is serious, his qualifications to
take part in bidding for projects subject to tender according to law shall be
cancelled for two to five years and the cancellation shall be announced, or even
the administrative department for industry and commerce shall revoke his
business license.
因不可抗力不能履行合同的,不適用前兩款規(guī)定。
If a contract is unable to be performed due to force majeure, the provisions
of the preceding two paragraphs shall not apply.
第六十一條 本章規(guī)定的行政處罰,由國(guó)務(wù)院規(guī)定的有關(guān)行政監(jiān)督部門(mén)決定。本法已對(duì)實(shí)施行政處罰的機(jī)關(guān)作出規(guī)定的除外。
Article 61 Administrative sanctions set forth in this Chapter shall be decided
by the relevant departments for administrative supervision designated by the
State Council, excluding those laid down by this Law to execute administrative
sanctions.
第六十二條
任何單位違反本法規(guī)定,限制或者排斥本地區(qū)、本系統(tǒng)以外的法人或者其他組織參加投標(biāo)的,為招標(biāo)人指定招標(biāo)代理機(jī)構(gòu)的,強(qiáng)制招標(biāo)人委托招標(biāo)代理機(jī)構(gòu)辦理招標(biāo)事宜的,或者以其他方式干涉招標(biāo)投標(biāo)活動(dòng)的,責(zé)令改正;
Article 62 If any unit, in violation of the provisions of this Law, restricts
or excludes a legal person or any other organization from another place or
system to take part in bidding, designates a procuratorial agency for a tenderer,
compels a tenderer to authorize a procuratorial agency to carry out the tender,
or interferes the tender and bid activity in any other form, the unit shall be
ordered to make corrections;
對(duì)單位直接負(fù)責(zé)的主管人員和其他直接責(zé)任人員依法給予警告、記過(guò)、記大過(guò)的處分,情節(jié)較重的,依法給予降級(jí)、撤職、開(kāi)除的處分。
the person-in-charge directly responsible and other persons directly
responsible of the unit shall be given such sanctions as warning, recording of
demerit or recording of serious demerit according to law, and if the
circumstance is fairly serious, be given such sanctions as demotion, removal
from office or expulsion according to law.
個(gè)人利用職權(quán)進(jìn)行前款違法行為的,依照前款規(guī)定追究責(zé)任。
A person who commits any of the acts set forth in the preceding paragraph by
taking advantage of his power shall be demanded for his responsibility in
accordance with the provisions of the preceding paragraph.
第六十三條
對(duì)招標(biāo)投標(biāo)活動(dòng)依法負(fù)有行政監(jiān)督職責(zé)的國(guó)家機(jī)關(guān)工作人員徇私舞弊、濫用職權(quán)或者玩忽職守,構(gòu)成犯罪的,依法追究刑事責(zé)任;不構(gòu)成犯罪的,依法給予行政處分。
Article 63 A public servant of a State organ obligated for exercising
administrative supervision according to law over tender and bid activities, who
practices favoritism or irregularity, abuses his power or neglects his duty of
office, shall be demanded for criminal responsibility according to law if a
crime is constituted and; if no crime is constituted, be given administrative
sanctions according to law.
第六十四條 依法必須進(jìn)行招標(biāo)的項(xiàng)目違反本法規(guī)定,中標(biāo)無(wú)效的,應(yīng)當(dāng)依照本法規(guī)定的中標(biāo)條件從其余投標(biāo)人中重新確定中標(biāo)人或者依照本法重新進(jìn)行招標(biāo)。
Article 64 If the bidding result of a project subject to tender according to
law is void and invalid due to violation of the provisions of this Law, a new
winning bidder shall be determined from among other bidders according to the
bidding terms laid down in this Law or a new tender shall be carried out
according to this Law.
第六章 附 則
Chapter VI Supplementary Provisions
第六十五條 投標(biāo)人和其他利害關(guān)系人認(rèn)為招標(biāo)投標(biāo)活動(dòng)不符合本法有關(guān)規(guī)定的,有權(quán)向招標(biāo)人提出異議或者依法向有關(guān)行政監(jiān)督部門(mén)投訴。
Article 65 A bidder or any other interested person who believes that a tender
and bid activity does not conform to the provisions of this Law shall be
entitled to raise his objection to the tenderer or to file a complaint with the
relevant department for administrative supervision according to law.
第六十六條
涉及國(guó)家安全、國(guó)家秘密、搶險(xiǎn)救災(zāi)或者屬于利用扶貧資金實(shí)行以工代賑、需要使用農(nóng)民工等特殊情況,不適宜進(jìn)行招標(biāo)的項(xiàng)目,按照國(guó)家有關(guān)規(guī)定可以不進(jìn)行招標(biāo)。
Article 66 Projects not suitable for carrying out tenders because of involving
in State security, State secrets, emergency rescue and disaster relief or other
special circumstances involving the use of relief fund for providing work as a
form of relief or requiring to employ farmers as workers, may not be subject to
tender in accordance with the relevant regulations of the State.
第六十七條
使用國(guó)際組織或者外國(guó)政府貸款、援助資金的項(xiàng)目進(jìn)行招標(biāo),貸款方、資金提供方對(duì)招標(biāo)投標(biāo)的具體條件和程序有不同規(guī)定的,可以適用其規(guī)定,但違背中華人民共和國(guó)的社會(huì)公共利益的除外。
Article 67 If the loan or fund provider of a project subject to tender using a
loan or aid fund from an international organization or a foreign government has
different provisions on specific requirements and procedures for the tender and
bid, his provisions may apply, with the exception of those contrary to the
social and public interests of the People's Republic of China.
第六十八條 本法自2000年1月1日起施行。
Article 68 This Law shall enter into force on January 1, 2000.
